Terms and Conditions of Service

1. Acceptance
By accessing the website kitchenhackers.app, contacting us via WhatsApp at +57 314 827 2572, or contracting any of our services, you accept these Terms and Conditions in their entirety. If you do not agree with any of these terms, please do not use our services.

3. Service Description
Kitchen Hackers provides operational management software for professional kitchens, restaurants, and dark kitchens, including:
- Daily cash closings with delivery rider and payment method reconciliation
- Staff shift management and biweekly payroll calculation
- Recipes (technical sheets) and dish costing from ingredients and disposables
- Inventory, supplier and consumption control
- Operational and financial reports
The specific scope of each plan is defined in the commercial proposal or in the terms of the subscription accepted by the client.
4. User Account
To use the application, you must create an account providing truthful data. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. Notify us immediately of any unauthorized use at hola@kitchenhackers.app.
5. WhatsApp Communication Channel
The WhatsApp Business number +57 314 827 2572 is our regional support channel. By contacting us through this channel, you accept that:
a) Your messages will be processed according to our Privacy Policy.
b) Conversations may initially be processed by virtual assistants and escalated to a human when applicable.
c) WhatsApp is an informal channel; binding commercial agreements require formal documentation via email or another medium.
6. Client Obligations
The client agrees to:
a) Provide truthful, complete, and up-to-date information when contracting and operating.
b) Pay agreed fees within the agreed timeframes.
c) Grant the technical accesses and permissions necessary for service delivery.
d) Not use the service for illegal, fraudulent purposes, or in violation of third-party rights.
e) Comply with labor, tax, and sanitary regulations applicable to their business. Kitchen Hackers is a management tool and does not replace legal, accounting, or tax advice.
7. Payments and Billing
a) Prices are quoted in US dollars (USD) or Colombian pesos (COP) as agreed in the proposal or subscription.
b) Subscriptions are billed recurrently (monthly or annually) according to the chosen plan.
c) Applicable taxes (VAT, withholdings) are the client's responsibility and will be added to quoted prices.
d) Payment delays may result in service suspension upon prior notice.
8. Intellectual Property
a) Kitchen Hackers (including the application code, design, brand, logos, and documentation) is the property of BIG55 GLOBAL LLC. The client receives only a limited, non-exclusive, non-transferable usage license to operate their business during the subscription period.
b) The client retains ownership of their own operational data (recipes, employees, sales, inventory) and may export it at any time while having an active account.
c) Methodologies, frameworks, and know-how developed by Kitchen Hackers remain the property of BIG55 GLOBAL LLC.
9. Confidentiality
Both parties agree to treat as confidential any information exchanged in the framework of the service, except for that which is in the public domain or whose disclosure is required by law.
10. Warranties and Limitation of Liability
a) Kitchen Hackers provides the service with reasonable professional standards on an "as-is" basis, but does not guarantee specific commercial results (sales volume, contribution margins, retention rates, etc.), as these depend on multiple factors outside Kitchen Hackers' control.
b) To the maximum extent permitted by applicable law, Kitchen Hackers' total liability to the client for any claim arising from the service is limited to the amount actually paid by the client in the twelve (12) months prior to the event giving rise to the claim.
c) Kitchen Hackers shall not be liable for indirect damages, lost profits, loss of business opportunity, or punitive damages.
d) Kitchen Hackers is not responsible for interruptions, failures, or losses attributable to its sub-processors (Netlify, Supabase, Resend, Zoho, Meta) when such failures are beyond Kitchen Hackers' reasonable control.
11. Termination
Either party may terminate the contract:
a) By written mutual agreement or voluntary subscription cancellation.
b) Due to material breach not remedied within 15 calendar days following written notification.
Upon termination, the client may export their data for a 30-day period. After that period, the data will be securely deleted in accordance with our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute will be resolved preferentially through direct good-faith negotiation; if no agreement is reached, the parties may submit to the competent courts of the State of Wyoming, unless a mandatory rule of the client's country of residence provides otherwise.
13. Modifications
Kitchen Hackers may modify these Terms. The date of the last update appears at the top. Continued use of services after a modification constitutes acceptance of the new version.
